Charter
ING has an Executive Board Charter, which
accords with the Dutch Corporate Governance Code and the
requirements of the U.S. Sarbanes-Oxley Act. The division of tasks
within the Executive Board and its procedures have been laid down
in this charter, including information about its relations with the
external auditor, the Supervisory Board, the General Meeting and
the Works Councils.
The Charter was amended by the Executive Board on 18 July 2009 and
approved by the Supervisory Board on 11 August 2009. It became
effective as of 1 June 2009.
Profile
The Profile of the Executive Board, which is
included as Annex 2 in the new Charter, is subject to discussion
with the General Meeting.
